1. General Disclaimer

LedgerReady is a technology platform that provides pre-accounting preparation services. The information, outputs, and observations provided through the Platform are for informational and preparation purposes only.

LedgerReady does NOT provide:

• Accounting advice
• Tax advice or tax preparation services
• Legal advice
• Financial advisory services
• Compliance guidance or compliance monitoring
• Audit opinions, reviews, compilations, or any form of professional assurance

All outputs — including transaction suppression, pattern observations, category suggestions, and preparation artifacts — are preparation aids, not professional judgments. You should consult qualified professionals for all accounting, tax, and legal decisions.

1.1 Non-Reliance

You acknowledge that no output, observation, or artifact produced by the Platform may be relied upon as the sole basis for any financial, tax, legal, or regulatory decision. Platform outputs are starting points for professional review, not substitutes for it. Any reliance on Platform outputs without independent professional verification is at your own risk.

1.2 No Warranty of Accuracy

All Platform outputs are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. LedgerReady does not warrant that outputs are error-free, that pattern detection is exhaustive, or that automated classifications are correct.

1.3 Internal Controls

LedgerReady is not a substitute for internal controls, segregation of duties, or independent reconciliation procedures. Users are solely responsible for maintaining adequate internal controls over their financial data. The Platform does not monitor, enforce, or verify the adequacy of any user's internal control environment.

2. Preparation Intelligence Disclaimer

LedgerReady's Preparation Intelligence Engine generates automated, rule-based observations from customer-provided transaction data. These observations are preparation aids and do not constitute accounting advice, tax advice, legal advice, compliance guidance, audit opinions, or any form of professional assurance.

The Platform does not guarantee detection of all transaction patterns, anomalies, or irregularities. The absence of an observation is not confirmation that no issue exists. The Platform does not determine intent, legality, or regulatory classification. All observations require independent review and professional judgment by a qualified professional.

3. Transaction Suppression

Clean Statement Mode removes probable noise from uploaded data using automated pattern-matching. All suppressions are reversible. Original files are preserved. Suppression does not represent a professional judgment about whether a transaction is valid, legitimate, or correctly classified.

4. Category Suggestions

Category suggestions (where available) are automated starting points for accountant review. They are not authoritative, not final, and not applied without explicit accountant confirmation. They do not represent accounting classification decisions.

5. Professional Responsibility

Accountants using LedgerReady retain full professional authority, judgment, and liability for all decisions made based on LedgerReady outputs, including Preparation Intelligence observations.

5.1 Preparation Certificate Boundary

The Pre-Accounting Ready status and Preparation Certificate confirm only that the preparation workflow was completed within the Platform. They do not:

• Certify the accuracy, completeness, or legitimacy of the underlying financial data.
• Represent that LedgerReady has audited, reviewed, or independently verified any transaction.
• Constitute an opinion, assurance engagement, or attestation of any kind.
• Create any liability on the part of LedgerReady for the contents of the prepared data.

The Preparation Certificate is a workflow completion marker, not a professional certification. It may not be presented to third parties as evidence of financial accuracy, audit completion, or regulatory compliance.

6. No Professional or Fiduciary Relationship

Use of LedgerReady does not create a professional services relationship between LedgerReady and any user, or between LedgerReady and any user's clients.

Without limiting the foregoing, use of the Platform does not create any fiduciary duty, advisory relationship, agency, partnership, joint venture, or employment relationship between LedgerReady (or Trades Captain LLC) and any user. LedgerReady owes no duty of care beyond the obligations expressly stated in the Terms of Service.

7. Platform Status

LedgerReady is a technology platform operated by Trades Captain LLC, a Wyoming limited liability company. LedgerReady is not a licensed public accounting firm and does not render services regulated by any state board of accountancy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, LedgerReady and Trades Captain LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to Platform outputs, including but not limited to damages arising from reliance on automated observations, pattern detection failures, classification errors, or incomplete data processing. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if LedgerReady has been advised of the possibility of such damages.
